Terms of Service

1. Acceptance of Terms

By creating an account or using the Conversent platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use the Service. These Terms apply to all users, including visitors, registered users, and customers with active subscriptions.

2. Description of Service

Conversent provides a software-as-a-service (SaaS) platform that allows you to create AI-powered chat widgets and embed them on your website. The Service includes widget configuration, AI response generation, analytics, and subscription management.

3. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent that you are at least 18 years old and have the legal capacity to enter into a binding agreement.

4. Account Registration

You must register for an account to access most features. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorised access to your account.

5. Subscriptions and Billing

• Subscription fees are billed in advance on a monthly basis.
• All prices are displayed in your region's local currency and are inclusive of applicable taxes where required by law.
• Payments are processed by a third-party payment processor. We do not store your full payment card details.
• Subscriptions automatically renew unless cancelled before the renewal date.
• Plan limits (widgets, AI responses, context) reset at the start of each billing cycle.
• Upgrading your plan takes effect immediately. Downgrading takes effect at the next billing cycle.

6. Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period — you retain access until then.

Refund policy: Subscription fees are generally non-refundable. If you are a consumer in the EU/EEA or Serbia, you have the right to withdraw from the contract within 14 days of purchase ("cooling-off period"), unless the service has already commenced with your explicit consent and acknowledgment that you lose your right of withdrawal. 7. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe intellectual property rights of others
• Transmit malware, spam, or harmful content
• Engage in fraudulent or deceptive activities
• Attempt to gain unauthorised access to the platform or other users' data
• Reverse-engineer, decompile, or disassemble the Service
• Use the Service to train competing AI models without our written consent

We reserve the right to suspend or terminate accounts that violate these rules.

8. Your Content

You retain ownership of all documents, texts, and data you upload to the Service ("Your Content"). By uploading content, you grant us a limited, non-exclusive, worldwide licence to process and store it solely for the purpose of providing the Service.

You are solely responsible for ensuring that Your Content does not violate any laws or third-party rights. We do not review Your Content and are not liable for it.

9. AI-Generated Responses

The Service uses large language models (LLMs) to generate responses. We do not guarantee the accuracy, completeness, or reliability of AI-generated content. You should not rely on AI responses for legal, medical, financial, or other professional advice. We are not liable for decisions made based on AI-generated output.

10. Intellectual Property

All rights, title, and interest in the Service, including software, design, trademarks, and documentation, are owned by Conversent or its licensors. You may not copy, modify, or distribute any part of the Service without our prior written consent.

11. Service Availability

We aim to provide a reliable service but do not guarantee 100% uptime. We may perform maintenance, updates, or changes to the Service at any time. We will endeavour to provide advance notice of significant downtime. We are not liable for losses caused by service interruptions.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Conversent shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of (or inability to use) the Service.

Our total liability to you for any claim arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

Note: some jurisdictions (including EU member states) do not allow the exclusion of certain warranties or limitations of liability for consumers. The above limitations may not apply to you.

13. Indemnification

You agree to indemnify and hold Conversent harmless from any claims, damages, losses, and expenses (including legal fees) arising from your use of the Service, Your Content, or violation of these Terms.

14. Termination

Either party may terminate the agreement at any time. We may suspend or terminate your account immediately if you breach these Terms, fail to pay, or if required by law. Upon termination, your right to use the Service ceases and your data will be deleted within 30 days per our Privacy Policy.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Serbia. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in Serbia.

If you are an EU consumer, you may use the European Consumer Redress platform at consumer-redress.ec.europa.eu.

Consumers in Serbia: Before concluding a contract, you may inform yourself about the possibilities for out-of-court settlement of disputes with the competent authorities (e.g. the Ministry of Trade, Tourism and Telecommunications or consumer protection associations).

16. Changes to Terms

We may update these Terms at any time. We will notify you at least 14 days in advance by email or via a notice in the platform. Continued use of the Service after the effective date constitutes acceptance. If you do not agree, you may cancel your account before the changes take effect.
